Terms and Conditions of Sale<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

1. Scope<\/strong><\/p>

These Terms and Conditions of Sale (\u201cT&Cs\u201d) govern all consulting and training services provided by Pomelo & Co<\/strong>, SASU registered in Paris, to its clients.<\/p>

2. Services<\/strong><\/p>

Pomelo & Co provides advisory, training, and support services in sustainable development, procurement, and supply chain management. Services are provided exclusively on the basis of a quote (\u201cquotation\u201d) accepted by the client.<\/p>

3. Orders and contracts<\/strong><\/p>

\u2022 Any engagement must be confirmed by a signed quote or written acceptance by the client.<\/p>

\u2022 The contract is deemed valid upon acceptance of the quote.<\/p>

4. Prices and payment<\/strong><\/p>

\u2022 Prices are expressed in euros, excluding taxes.<\/p>

\u2022 VAT will be applied according to applicable law.<\/p>

\u2022 Payment terms: unless otherwise specified, invoices must be paid within 30 days<\/strong> of issue.<\/p>

\u2022 Late payments may give rise to late penalties in accordance with Article L441-10 of the French Commercial Code.<\/p>

5. Cancellation<\/strong><\/p>

\u2022 In case of cancellation by the client less than 7 days before the scheduled service, Pomelo & Co reserves the right to charge up to 50% of the quoted amount.<\/p>

\u2022 In case of cancellation by Pomelo & Co, any payment already made will either be refunded in full, minus any duly justified costs already incurred, or credited towards a rescheduled service, as agreed with the client.<\/p>

6. Liability<\/strong><\/p>

Pomelo & Co undertakes to provide its services with due care and professionalism. However, it cannot be held liable for indirect damages, loss of profits, or results dependent on external factors beyond its control.<\/p>

7. Confidentiality<\/strong><\/p>

Both parties agree to maintain the confidentiality of all sensitive information exchanged in the course of the contract.<\/p>

8. Governing law and jurisdiction<\/strong><\/p>

These T&Cs are governed by French law. Any dispute relating to their interpretation or performance shall fall within the exclusive jurisdiction of the Paris Commercial Court.<\/p>
